Terms & Conditions for Commission Agreement

This Agreement outlines the terms and conditions between Fastsales PNG and any individual, sole trader, retailer, Wholesaler, or a Product Distributor (“the Partner”) who engages Fastsales PNG to facilitate the marketing, negotiation, and sale of products and services.

1. Commission Structure

  • The Partner agrees that the Fastsales will receive a 10% commission on the final sale price of any product sold through the Company’s marketing or negotiation efforts.

  • From this commission, 1% will be allocated and donated to a registered local (PNG) charitable organization selected by the Company.

2. Payment Terms

  • Commission is calculated based on the final confirmed sale price, excluding taxes, shipping, or additional fees.

  • Commission payments are due within 7–14 days after the Partner receives payment from the buyer, unless otherwise agreed in writing.

  • Fastsales will issue an invoice for the commission amount, including a breakdown of the charitable allocation to a local charity group.

3. Responsibilities of the Company

Fastsales agrees to:

  • Promote, market, and negotiate the sale of the Partner’s products.

  • Act in good faith and represent the Partner’s products accurately.

  • Provide updates on sales progress upon reasonable request.

  • Ensure the 1% charitable contribution is donated as stated and maintain internal records of such donations to reputable local charity groups .

4. Responsibilities of the Partner

The Partner agrees to:

  • Provide accurate product information, pricing, and availability.

  • Ensure products meet all legal, safety, and quality requirements.

  • Fulfill orders promptly once a sale is confirmed.

  • Pay the agreed commission within the specified timeframe.

5. Duration and Termination

  • This Agreement becomes effective on the date the Partner engages the Fastsales’ services.

  • Either party may terminate the Agreement with 14 days’ written notice.

  • Commission remains payable for any sales resulting from the Fastsales’ efforts prior to termination.

6. Confidentiality

Both parties agree to maintain the confidentiality of all business, pricing, and customer information shared during the course of this Agreement.

7. Limitation of Liability

Fastsales is not liable for:

  • Product defects, delivery issues, or disputes between the Partner and the buyer.

  • Losses arising from inaccurate information provided by the Partner.

8. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of [Your Country/Region] and Papua New Guinea.

9. Acceptance

By engaging Fastsales’ services, the Partner acknowledges and agrees to these Terms & Conditions.
